Terms and Conditions

These Terms and Conditions (“Terms”) govern the provision of services by White Tower Social (“we”, “us”, “our”) to you (“the Client”, “you”). By purchasing, accessing, or using our services, you agree to be bound by these Terms.

1. About Us

White Tower Social provides AI-assisted automation, workflow optimisation, and social media scheduling services to businesses. We do not provide legal, financial, marketing performance guarantees, or regulated advisory services.

2. Services

2.1

We provide automation-led services which may include, but are not limited to:
Social media content scheduling
AI-assisted content creation support
Workflow automation and process optimisation
AI tool configuration and integration
Client journey automation
Advisory and consultancy support related to AI and automation

2.2

The exact scope of services will be agreed with you prior to commencement, either verbally, in writing, or via our onboarding documentation.

2.3

We reserve the right to refine, improve, or alter our internal processes and tools provided the overall service intent remains consistent.

3. Human Oversight and AI Use

3.1

Our services combine human oversight with AI-assisted automation.

3.2

While AI tools may be used to assist with efficiency, final responsibility for approval, accuracy, tone, and suitability of content rests with the Client.

3.3

We do not guarantee that AI-assisted outputs will be error-free, original, or suitable for all audiences.

4. Client Responsibilities

4.1

You agree to:
Provide accurate and timely information
Ensure you have the rights to all images, videos, text, and branding supplied
Review and approve content and automation outputs where required
Comply with all applicable laws, regulations, and platform terms (including Meta, LinkedIn, Google, etc.)

4.2

You remain solely responsible for:
Your brand messaging
Regulatory compliance
Claims made in published content
Outcomes resulting from published material

5. Social Media Services Disclaimer

5.1

We do not guarantee:
Increased engagement
Lead generation
Sales
Followers
Algorithmic reach
Platform performance

5.2

Social media platforms are third-party services beyond our control and may change functionality, reach, or rules at any time.

5.3

Our role is content scheduling and automation support, not marketing performance assurance.

6. Payment Terms

6.1

Fees are payable in advance unless otherwise agreed.

6.2

Subscription services are billed monthly.

6.3

Setup fees, where applicable, are non-refundable once work has commenced.

6.4

Failure to pay may result in suspension or termination of services.

7. Free Trials and Introductory Offers

7.1

Free trials, where offered, are provided at our discretion.

7.2

We reserve the right to withdraw or limit free trials at any time.

7.3

No obligation exists for us to continue services beyond the trial period.

8. Intellectual Property

8.1 Ownership

All intellectual property created, developed, or generated by White Tower Social in the course of providing services remains the exclusive property of White Tower Social, including but not limited to:
AI-generated images
Graphics and visual assets
Social media content
Copywriting and text content
Prompts, workflows, and automation logic
Templates, systems, frameworks, and methodologies

8.2 Licence to Use Content

Upon full payment of the applicable fees, the Client is granted a limited, non-exclusive, non-transferable licence to use content created by White Tower Social solely for the purpose of promoting their business.

This licence is conditional upon the Client maintaining an active service subscription with White Tower Social.

If the Client’s subscription or service agreement ends for any reason, the licence immediately terminates, and the Client must cease using the content created by White Tower Social.

8.3 Termination of Licence

Upon termination of services:
The Client must:
• Stop using any images, graphics, or content created by White Tower Social
• Remove such content from websites, social media platforms, marketing materials, and advertising where reasonably possible
• Not reuse or repurpose the content in future marketing

White Tower Social retains full intellectual property ownership of all created materials at all times.

8.4 Restrictions

The Client may not:
Resell, sublicense, or redistribute the content
Claim authorship or ownership of the assets
Use the assets outside the agreed business context
Provide the assets to third parties for commercial reuse

without the prior written permission of White Tower Social.

8.5 Portfolio Rights

White Tower Social retains the right to:
reuse
modify
repurpose
display

any work created for portfolio, demonstration, or marketing purposes.

9. Data Protection and GDPR

9.1

We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

9.2

We act as a data processor where applicable, and you act as the data controller.

9.3

You confirm you have the lawful right to share any personal data provided to us.

9.4

10. Confidentiality

10.1

Both parties agree to keep confidential information private unless required by law.

10.2

Confidentiality obligations survive termination of services.

11. Limitation of Liability

11.1

To the fullest extent permitted by law:
We shall not be liable for indirect, consequential, or economic losses
We shall not be liable for loss of profits, revenue, reputation, or data

11.2

Our total liability shall not exceed the total fees paid by you in the three months preceding any claim.

11.3

Nothing in these Terms limits liability for death or personal injury caused by negligence or fraud.

12. Termination

12.1

Either party may terminate services with 30 days’ written notice unless otherwise agreed.

12.2

We may terminate immediately if:
You breach these Terms
Payment is overdue
Continued service would expose us to legal or reputational risk

13. Third-Party Tools

13.1

We may use third-party tools.
AI platforms

13.2

We are not responsible for outages, changes, or failures of third-party services.

14. Non-Exclusivity

14.1

Our services are non-exclusive.

14.2

We may provide similar services to other clients, including competitors.

15. Amendments

15.1

We may update these Terms from time to time.

15.2

Continued use of services constitutes acceptance of updated Terms.

16. Governing Law

16.1

These Terms are governed by the laws of England and Wales.

16.2

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
